This Partnership Contract (the "Contract") is entered into between Self-Care Wisconsin, LLC, hereinafter referred to as the "Event Organizer," & The partnering company, hereinafter referred to as the "Vendor/Partner/Sponsor," collectively referred to as the "Parties."
Purpose:
This Contract establishes the terms & conditions of the partnership between the Event Organizer & the Vendor/Partner/Sponsor for participation in the Women's Self-Care Circuit to be held on the date stated in offer.
Vendor/Partner/Sponsor Responsibilities:
The Vendor/Partner/Sponsor agrees to:
Provide the agreed-upon products, services, or items outlined in the Vendor/Partner/Sponsor Agreement.
Comply with all event guidelines, rules, & regulations set forth by the Event Organizer.
Maintain a professional & safe environment within their allocated space during the event.
Adhere to all local laws, permits, and licenses required to conduct their business.
Event Organizer Responsibilities:
The Event Organizer agrees to:
Provide the Vendor/Partner/Sponsor with a designated space for their display, as outlined in the Vendor/Partner/Sponsor Agreement.
By not signing up for emails prompted after checkout you waive rights to any benefits that were missed and reminded of in welcome email. Example: Scheduling LIVE Post fulfillments if included in your package.
Promote & market the event to attract attendees.
Provide necessary event infrastructure, such as tables, chairs, and electrical connections, if selected & agreed upon in the Vendor/Partner/Sponsor Agreement.
Payment Terms:
The Vendor/Partner/Sponsor agrees to pay the agreed-upon participation fee to the Event Organizer as outlined in the Vendor/Partner/Sponsor Agreement.
Payment is due by immediately & can be made via most payment methods.
Cancellation Policy:
The Vendor/Partner/Sponsor understands & agrees that cancellations must be made in writing to the Event Organizer.
If the Vendor/Partner/Sponsor cancels within 6 months of the event date, 35% of the participation fee will be retained by the Event Organizer.
If the Vendor/Partner/Sponsor cancels within 4 months of the event date, the entire participation fee will be non-refundable.
Intellectual Property:
The Vendor/Partner/Sponsor grants the Event Organizer a non-exclusive, royalty-free license to use their artwork, logos, & branding materials for promotional purposes related to the Women's Self-Care Circuit.
The Vendor/Partner/Sponsor represents & warrants that they have the necessary rights & permissions to grant such a license.
Optional Ad Space in Interactive Workbook:
The Vendor/Partner/Sponsor has the option to purchase ad space in the interactive workbook as outlined in the Vendor/Partner/Sponsor Agreement. This option is subject to availability & at the discretion of the Vendor/Partner/Sponsor.
The Vendor/Partner/Sponsor shall provide the necessary logo, artwork, graphics, & content for their ad space in a format & specifications specified by the Event Organizer.
The Event Organizer shall include the Vendor/Partner/Sponsor's ad in the interactive workbook as agreed upon.
Future Events:By proceeding to checkout consent to being marketed to for future events. Option to opt out/unsubscribe Via email.
Photo Release:
The Vendor/Partner/Sponsor grants permission for the Event Organizer to capture & use photographs, images, or video footage taken during the event that may include the Vendor/Partner/Sponsor's likeness, booth, or products. The Event Organizer may use these materials for promotional purposes, including but not limited to social media, website, & marketing materials.
Age Restriction:
The Vendor/Partner/Sponsor acknowledges that the Women's Self-Care Circuit is intended for individuals aged 18 or older. The Vendor/Partner/Sponsor agrees to comply with any age restrictions & not to engage in activities or provide products/services that are inappropriate or not suitable for individuals under the age of 18.
Sharing & Promoting the Event:
The Vendor/Partner/Sponsor recognizes the importance of actively sharing & promoting the Women's Self-Care Circuit within their network.
The Vendor/Partner/Sponsor agrees to actively promote the event on their social media platforms, website, & other marketing channels leading up to the event date.
The Vendor/Partner/Sponsor commits to sharing event updates, key announcements, and special promotions with their followers & community, contributing to the overall success of the Women's Self-Care Circuit.
Venue Rules:
The Vendor/Partner/Sponsor acknowledges & agrees to adhere to the venue rules set forth by the Event Organizer & the venue management.
No beer, wine, liquor, other alcoholic beverages may be brought onto the premises or consumed by the Vendor/Partner/Sponsor/Any of their guests unless it is served & sold by the venue. No person under the age of 18 shall be permitted to consume any alcoholic beverages.
No smoking of any substance or the sale, gift, or use of any illegal drugs is permitted by anyone in or about the Event Space or Public Areas of the Venue.
CONFETTI & GLITTER ARE EXPRESSLY PROHIBITED WITHIN THE BUILDING/OUTSIDE.
No tape, tacks, or nails may be used anywhere on the walls or ceiling to attach any decorations.
No open fire of any sort may be present within any public space (candles in self-contained decorative holders may be placed on the tables, and sternos may be used for chafing dishes).
Indemnification:
The Vendor/Partner/Sponsor agrees to indemnify & hold harmless the Event Organizer & Venue from any claims, damages, losses, or liabilities arising from the Vendor/Partner/Sponsor's participation in the event, including but not limited to personal injury, property damage, or infringement of intellectual property rights.
Governing Law and Jurisdiction:
This Contract shall be governed by & construed in accordance with laws of Wisconsin. Any disputes arising from this Contract shall be subject to exclusive jurisdiction of the courts of Wisconsin.
Entire Agreement:
This Contract constitutes the entire agreement between the Event Organizer & the Vendor/Partner/Sponsor & supersedes any prior discussions, understandings, or agreements, whether written or verbal, relating to the subject matter herein.
